Terms of Service

Welcome to Vault (the "Platform"). By accessing or using our website, platform, and asset licensing services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not use our Services.

1. About the Platform

Vault is an asset licensing and creator monetization platform. We provide a digital marketplace where independent content creators ("Creators") can upload, showcase, and license digital media assets—including but not limited to video footage, b-roll, photography, templates, and audio (collectively, "Assets")—and where businesses, agencies, and brands ("Brands") can discover and purchase commercial licenses for those Assets.

2. Account Eligibility & Registration

  • Age: You must be at least 18 years old to create an account on Vault.
  • Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
  • Security: You are entirely responsible for maintaining the confidentiality of your account credentials and password. You agree to notify Vault immediately of any unauthorized use of your account.

3. For Creators: Uploading and Ownership

  • Ownership Retained: As a Creator, you retain 100% of the copyright and ownership of any Assets you upload to Vault. Uploading content does not transfer your intellectual property rights to Vault.
  • Licensing Grant: By uploading an Asset, you grant Vault a worldwide, non-exclusive, royalty-free license to host, display, catalog, and market your Asset for the purpose of making it discoverable to Brands.
  • Guarantees of Originality: You explicitly represent and warrant that: (a) You are the sole creator and legal owner of the Asset. (b) The Asset does not infringe upon the copyrights, trademarks, privacy rights, or intellectual property of any third party. (c) You have obtained all necessary model releases, property releases, and permissions for individuals or private property featured prominently in your media.

4. For Brands: Commercial Licensing Rules

  • License Purchase: When a Brand purchases an Asset on Vault, they are buying a limited, non-exclusive, worldwide, royalty-free license to use that Asset for commercial, marketing, and promotional purposes.
  • Restrictions: Unless explicitly stated in an Enterprise tier agreement, Brands cannot: resell, redistribute, or sublicense the raw Asset file as a standalone product; claim authorship or ownership of the Asset; or use the Asset in any defamatory, pornographic, illegal, or politically sensitive context.

5. Payouts, Wallet, and Fees

  • Platform Fee: Vault charges a percentage fee on every successful licensing transaction, which is deducted automatically before payouts hit the Creator's wallet. Fees are clearly outlined in your dashboard.
  • Withdrawals: Creators can view their earnings instantly in their digital wallet. Withdrawals to local Nigerian bank accounts are processed systematically, subject to standard banking settlement times and minor payment processor processing fees.
  • No Refunds: Due to the downloadable and digital nature of software Assets, all licensing purchases made by Brands are final and non-refundable.

6. Limitation of Liability & Indemnity

Vault acts as an intermediary marketplace. While we perform baseline reviews, we are not liable for any copyright infringements committed by users. You agree to indemnify, defend, and hold harmless Vault, its subsidiaries, and its team from any claims, losses, or legal liabilities arising from your breach of these Terms, your misuse of the platform, or your violation of third-party intellectual property rights.

7. Termination

We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, if you violate these Terms, engage in fraudulent financial activity, or cause reputational harm to the Vault community.

8. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
